The matter of record.

A private operating venue for the conduct of complex commercial engagements. Documents, communications, instructions, milestones, and decisions are captured in their original form and sequenced, versioned, time-stamped, and cryptographically anchored — from engagement entry through final resolution. The resulting record is constructed to satisfy the self-authentication requirements of Federal Rule of Evidence 902(13) and 902(14), and to support equivalent foundational treatment under the Civil Evidence Act 1995 (UK), Regulation (EU) No 910/2014 (eIDAS), and the IBA Rules on the Taking of Evidence in International Arbitration.

The Architecture

A venue, a portal, an operator.

Three actors, one system of record. Each has a distinct function and a distinct identity on every record of evidentiary weight.

Ordinact

The venue.

Admission is to the Venue under published Rules of Access. Records produced through any Chamber are released under Ordinact’s custodial and attestation authority and constructed to satisfy the self-authentication requirements of Federal Rule of Evidence 902(13) and 902(14).

Factivault

The portal.

The working environment through which admitted participants conduct their engagements. White-labeled to each Chamber, secured and governed uniformly under the Venue.

American Eagle Equity Assets LLC

The operator.

The named operator of the Venue and custodian of record. Every evidentiary output identifies AEEA as the party of attribution under penalty of perjury.

What Constitutes a Record of the Venue

Every record, the same five commitments.

A record of the Venue is not an assertion. It is a constructed artifact whose authenticity is verifiable, deterministically and offline, by any counterparty, counsel, regulator, auditor, or tribunal.

Digital identification

A cryptographic fingerprint is computed at ingest and on every state change. Any alteration, anywhere in the custody chain, is detected.

Third-party time attestation

RFC 3161 TSA · eIDAS Art. 42 qualified time-stamps

Every evidentiary event is bound to a signed time token issued by a trusted authority. The when is verifiable without trusting our clock.

Tamper-evident audit

Hash-chained · externally anchored · WORM-mirrored

The audit log is append-only and externally anchored. A mutation attempt breaks the chain and fails against the external authority’s record.

Custodial certification

A signed, long-term-validation certification by the Venue Records Custodian, sworn under penalty of perjury, with the full manifest of artifacts in scope.

Offline-verifiable bundle

A self-supporting evidence package. A recipient runs the included script on a clean machine and receives deterministic pass or fail, with no access to us.

Non-repudiation

FIDO2 / WebAuthn · device-held signing keys

Actions of evidentiary weight are bound to phishing-resistant authenticators and device-held keys. Session theft does not authorize them.

Public Verification

Paste a record reference. Receive a deterministic result.

Any counterparty, counsel, regulator, auditor, or tribunal may verify a record produced by the Venue. Verification is unauthenticated, public, and binding on the claim of authenticity alone.

Verification does not adjudicate the substance of a record. It returns whether the record’s integrity, time attestation, custody chain, and custodial signature remain intact as at the moment of issuance.

Governance

Rules of Access

The Venue is governed by a published set of Rules covering eligibility, conduct, Chamber formation, use of the Factivault portal, suspension, and expulsion. The Rules are drafted and maintained by counsel to the operator and revised under a disclosed amendment procedure.

Attestation

Trust Center

Independent third-party attestation of the Venue’s controls. Reports are made available to counterparties, counsel, and auditors under standard confidentiality terms. Incident disclosures and sub-processor registry are published in the open.

Admission

By application.

Applicants submit firm details, beneficial ownership, regulatory standing, and KYC/AML evidence. Applications are decided by the Ordinact Admissions Committee under the Rules of Access. Admitted participants execute the Participant Agreement with American Eagle Equity Assets LLC before any Chamber is provisioned.
